The IBASA Board is looking to procure the services of a company for the provision of Board secretarial services.

Accountability

The Board Secretary is a critical function of the Board of Directors of the Institute (“IBASA Board”).

The function is directly accountable to the Board. The Board Secretary will work closely with the Chairman of the IBASA Board in the execution of his/ her duties.

Term of Appointment

  • Board;
  • Board Committees; namely:
  •  EXCO,
    • Audit and Risk,
    • Nomcom,
    • Performance and Evaluation,
    • Appeals Committee
  • Annual General Meetings;
  • Statutory Compliance, including By-Laws;

  • Support and advise for the Chairman;
  • Director induction, and development;
  • Custodian of governance and compliance matters;
  • Creation and timely distribution of the agenda for meetings;
  • Ensure that accurate minutes are taken and approved;
  • Maintenance of the conflict of interest register;
  • Development and maintenance of the Board (Planning) Calendar;
  • Safe storage and proper maintenance of the corporate records;
  • Filing of annual returns and oversight of the Institution’s incorporation and charitable registration status;
  • Communication to and from the IBASA Board;
  • Ensure compliance for director appointments, etc.
  • Advise on compliance with policies and procedures by IBASA Board;
  • Maintenance of the Membership Database;
  • Compilation of the Annual Report;
  • Performance evaluation of the IBASA Board, and individual directors.

  • B degree or relevant Secretarial Higher Diploma:
  • At least five (5) years of previous service on the Board;
  • Knowledge of the meeting procedures, decision-making rules, governance principle Institute
  • An adequate level of writing proficiency and access to a computer for word processing
  • Commitment to, and a clear understanding of the mission of the organization

NB! The appointment will be subject to the signing of a service level agreement, setting out the key performance areas and target measures.
